تعني الشركة في الأصل المشاركة والتي لا يمكن أن تتحقق إلا ابتداء من شخصين فأكثر، لهذا فتعدد الشركاء في الشركة مسألة تقتضيها اللغة ويدل عليها النص والعرف، فلا محل إذن للفظ الشركة إذا كنا بصدد شخص واحد، ومنه فالمسمى القانوني لشركة الشخص الواحد لا يعول عليه باعتبار أن طبيعة المشروع هي ذاتها طبيعة الشركة المحدودة المسؤولية، ولأن القول بغير هذا يخالف القاعدة الكلية التي تعتبر أن الكلام مقاصده ومعانيه لا لألفاظه ومبانيه.
