Overcoming client resistance to outside boards

When having CEOs of other companies on their board, many family-business owners recognize the value of an objective perspective on family-business topics such as succession, family compensation, and shareholder involvement. If business owners are afraid of giving up control by having an outside director, CPAs need to remind their clients that control rests with the shareholders, not the board. Business owners may be afraid that they are unable to attract CEOs of high quality, but many business leaders will join because it benefits them. When the owner knows no people who would serve, the consultant needs to work with the client in defining the background and experience desired. Other issues owners may be concerned about include: 1. hurt feelings of the current family and employee directors, 2. dull meetings, 3. removal of a director, 4. preparation for board meetings, 5. expense of directors' liability insurance, 6. involvement of outside directors in family conflicts, and 7. business growth.
