In 2004 and 2005, the authors performed board evaluations within Europe-based companies operating in various business sectors. Based on the results of these evaluations, they identified the following as the main weaknesses of current corporate governance practices in Europe: 1. Most national corporate governance guidelines propose a one-size-fits-all approach that is dangerous; it may support good compliance, but it does not guarantee that the governance of a firm will become great. 2. There is a lack of strategic direction in much of board practices. 3. Board selection, appraisal, remuneration, and development often lack integration and professionalism. To use corporate governance as a competitive advantage, the authors therefore recommend the following: 1. Keep it situational. 2. Keep it strategic. 3. Keep it integrated. 4. Keep it controlled. It remains to be seen whether boards have the will and resources to transform themselves into truly directing and controlling teams apart from changing their orientations from corporate governance to corporate control-preneurship.
