إن العقد عبارة عن ارتباط الإيجاب الصادر من أحد العاقدين بقبول الآخر على وجه يظهر أثره في المعقود عليه، وهذا يعني أن العقد لا يوجد إلا إذا وجد الإيجاب والقبول، والعاقدان، والمحل أي المعقود عليه، وعلى هذا اتفق الفقهاء المسلمون، ولكنهم يختلفون في اعتبار هذه الأمور كلها أركان العقد، فغير الحنفية يقولون: أنها أركان العقد، والحنفية يقولون: إن أركان العقد هي الإيجاب والقبول فقط، وأما ما عدا ذلك من المحل والعاقدين فهي لوازم للإيجاب والقبول، لأنه يلزم من وجود الإيجاب والقبول وجود موجب وقابل، ووجودهما مرتبطين يستلزم وجود محل يظهر فيه أثر هذا الارتباط. هذا ولم يحدد القانون المدني العراقي أركان العقد في نص معين، ولكن من الأمور التي عالجها تحت عنوان (أركان العقد) يتبين لنا أن هذه الأركان ثلاثة: التراضي، والمحل، والسبب، وما يهمنا في هذه الدراسة هو محل العقد.
