يعتبر مجلس المراقبة جهازا حديثا ادخله المشرع الجزائري في شركة المساهمة، بإتباعه النمط الحديث الذي جاء تفاديا لعيوب النظام الكلاسيكي المعروف، ذلك لأن مجلس الإدارة الهيئة المسيرة والمراقبة نادرا ما يقوم بدور فعال في اتخاذ القرارات، مما يعرض الشركة إلى الخطر. ولضمان تحقيق الشركة أهدافها التي وجدت من أجلها، كان من الضروري التفكير في إيجاد حل، بإدخال النمط الحديث وذلك بفصل التسيير عن الرقابة، يعد مجلس المراقبة في شركة المساهمة حجر الأساس، هو جهاز رقابي يتمتع بعدة سلطات.
