Overview
أضحت الحوكمة تمثل أولوية بالنسبة للدول المتقدمة منها والسائرة نحو النمو، هذا الاهتمام كان وليد التغيرات التي شهدها العالم والأزمات الاقتصادية التي تعرض لها في العقود الأخيرة. لذا توجهت أنظار العالم نحو هذه الصيغة لضمان مناخ أعمال اقتصادي ناجع وقادر على مواجهة الرهانات المستقبلية، ولا يتحقق ذلك إلا بإتباع جملة من الإجراءات والقواعد. وعليه تهدف هذه الدراسة إلى البحث في الحوكمة من خلال المفهوم والإجراءات، وكذا استعراض أهم مبادئها ودورها في إعادة هيكلة الشركات.
