يقوم الأشخاص المهنيون الذين يمتهنون ذات المهنة أو مهن متقاربة ومتصلة فيما بينها كمهنة الأطباء ذوي الاختصاصات المختلفة والمحامين وغيرهم بتكوين شركة لممارسة نشاطهم داخل إطارها، نتيجة الصعوبات التي تواجههم إذا ما عملوا بشكل فردي كقلة الكفاءة والمعرفة والحاجة إلى جهود ونفقات مضاعفة، لذا وجدت الحاجة لتنظيم هذا النوع من الشركات بقواعد قانونية متكاملة تبين من هم الأشخاص الذين يحق لهم التأسيس، بالإضافة إلى الإجراءات والشروط القانونية التي يجب إتباعها عند التأسيس.
