يقصد بالقيم والأخلاقيات سلوك القادة وسلوك البشر وقناعتهم بشكل عام. كل مدير يلازمه في وظيفته مفهومة الشخصي لما هو صحيح وما هو خطأ. بينما من الوجه الآخر لمسئوليات المدير، فان أخلاقياته تمثل الخلاصة الكلية لخبراته، وتعليمه، ونشأته. إن كل قرار يتخذه المدير وكل تصرف يقوم به سوف ينعكس للأفضل أو للأسوأ على هذه المعايير والقيم. تعتبر هذه القيم الإطار الجوهري الذي يتم في إطاره تطبيق مبادئ الإدارة. ولكن حتى أولئك المديرين ذوي المفهوم التواق لما هو خطأ وما هو صحيح يقومون بمخاطرة أداء الشيء الخطأ. يحدث هذا حين يكون هناك ضغوط في العمل، مثل ضغط لأجل الإنتاجية وضغط لأجل الربحية، وهناك الإغراء الذي يأتي مع حصول المديرين على الاستقلال في العمل، وهكذا.
